Welcome to Elyx. These Terms of Service ("Terms") govern your access to and use of the Elyx platform, website, and services (collectively, the "Service"), operated by Elyx GmbH, based in Berlin, Germany ("Elyx", "we", "us", or "our").

By using Elyx, you agree to these Terms. If you do not agree, do not use the Service.

1. The Nature of the Service (Early Stage Disclaimer)

Please read this carefully: Elyx is currently an early-stage product. We are actively building, improving, and changing the Service.

  • No SLAs or Uptime Guarantees: The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis. We do not promise any specific uptime, and you should expect occasional bugs, disruptions, and downtime.

  • Use at your own risk: We are not liable for any lost data, lost revenue, or operational disruptions caused by bugs or downtime in the Service.

2. Account and Eligibility

  • Age Requirements: There is no strict minimum age to use the visual canvas. However, to publish a project or incur charges, you must have a valid credit card and the legal capacity to form a binding contract under German law (or have explicit parental consent).

  • Account Security: You are responsible for safeguarding your account credentials. We will only access your account and project data if you explicitly request us to do so for support or debugging purposes.

3. Intellectual Property and User Data

  • Your Code is Yours: You retain all intellectual property rights to the projects, code, and data you create, build, or deploy using Elyx.

  • No AI Training: We respect your work. We do not use your projects, your code, or your project-generated data to train any Artificial Intelligence (AI) models, nor do we allow third parties to do so through our platform.

4. Billing, Pricing, and Subscriptions

  • Pay-As-You-Go: Publishing a project requires a valid payment method. Our core billing model is based on your actual infrastructure usage (similar to AWS) plus a markup applied by Elyx.

  • Price Changes: We reserve the right to adjust our markup and pricing over time. We will notify you of any price increases in advance, giving you the opportunity to cancel your usage before the new rates apply.

  • Future Tiers and Grandfathering: In the future, we will introduce premium fixed-price subscriptions to unlock specific features (e.g., unlimited projects, B2B integrations, advanced exports).

    • Free Tier Limits: If you are an early user creating unlimited projects on a free tier, we reserve the right to cap the number of free projects in the future. If this happens, your existing deployed projects will remain active and functional, but you will need to upgrade to create new projects.

  • Payment Processor: All payments are processed securely via Stripe. We do not store your raw credit card details on our servers.

5. Acceptable Use Policy (AUP)

You agree not to misuse the Service. You may not use Elyx to:

  • Host, distribute, or promote illegal content, malware, or viruses.

  • Run cryptocurrency mining operations.

  • Deploy phishing sites, spam servers, or engage in malicious hacking/DDoS activities.

  • Violate the intellectual property or privacy rights of others.

Termination: We reserve the right to immediately suspend or terminate your account, and take down your projects, without notice, if we determine you have violated this AUP or engaged in illegal activities.

6. Third-Party Integrations

Elyx provides infrastructure that allows you to connect your projects to over 200 third-party APIs (e.g., Google Drive, Slack).

  • Self-Hosted Bridge: We facilitate these connections using our own self-hosted infrastructure.

  • Your Responsibility: When you connect a third-party account, you are authorizing your Elyx project to interact with that service. We do not share your data with these third parties—your project communicates with them directly based on your configurations. You are subject to the terms and privacy policies of those specific third-party services.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany.
